Agusta Aerospace Corp. (“Agusta”) was incorporated in 1980 and assembles, customizes and markets commercial and paramilitary helicopters throughout North, Central and South America. Agusta is a wholly owned subsidiary of the Milan, Italy, based Agusta S.p.A. Corporation (“Agusta SpA”) which merged with the England-based Westland Helicopter in 2002 to form a holding company of AgustaWestland, N.V. (“AgustaWestland”), a $3 billion company and one of the world’s largest helicopter manufacturers in the rotorcraft industry. AgustaWestland, which has more than 5,000 employees worldwide, was equally owned by Italy’s Finmeccanica S.p.A. and the UK’s GFN until November 2004, when Finmeccanica S.p.A. acquired GKN’s interests and became the sole shareholder of AgustaWestland. The Agusta story began in 1907 when Giovanni Agusta flew his first aeroplane. Beginning in 1923, Agusta was active in the design, production and maintenance of fixed wing craft. Production of helicopters began in 1952 when Agusta signed an agreement with Bell Helicopters to build helicopters under contract, leading to an independent research and development capacity, which allowed Agusta to eventually flight test its own prototype. In addition to Agusta’s Philadelphia location, Agusta uses a location in Jacksonville, Florida, for a helicopter maintenance operation supporting a fleet of Agusta helicopters currently being operated by the U.S. Coast Guard. In addition to helicopter sales and support service activity in North, Central and South America, approximately 50% of Agusta’s revenues are from the sale of aviation material, equipment and related items to Agusta’s affiliated companies. Agusta’s customer base includes executives, hospitals, EMS providers, offshore drilling operators, and numerous state and municipalities including The Pennsylvania State Police and New York City Police Departments. They also lease helicopters to the U.S. Coast Guard for armed interdiction and homeland security. Agusta was assigned a debt rating of 4A3 by Dunn and Bradstreet (“D & B”). The “4A” portion of the rating indicates that the company has worth from $10 million to $50 million. The “3” on the right indicates an overall fair credit appraisal. The credit appraisal was assigned because of D & B’s policy not to rate a subsidiary higher than its parent. Agusta S.p.A. began a long term strategic plan to expand its activity in the United States by transferring the assembly line of a number of its helicopters from Italy, where they were originally manufactured, to Northeast Philadelphia. Accordingly, Agusta entered into a 45 year ground lease with The Philadelphia Department of Aviation covering approximately 15 acres of land adjacent to its current facility at the Philadelphia Northeast Airport. In 2004, Agusta constructed a 40,000 square foot assembly plant and purchased and installed state-of-the-art equipment for the assembly of the single-engine, 5-seater A119 Koala Helicopter. Agusta is now planning the construction of an additional 110,000 square foot Facility, the purchase of the Equipment, computers and software, and employee training for the assembly of the A139 helicopter, its new twin engine, 12-seater helicopter. The workspace will include flight hangars, completion final assembly areas, manufacturing stations, and avionics assembly as well as warehousing space and offices. Potential customers for the helicopters include news stations, oil companies, law-enforcement agencies and hospitals. The Assembly Plant is projected to be completed in March 2007, and the completed helicopters will be distributed worldwide. It is forecasted that the Development Plan will create approximately 200 new direct jobs as a result of its completion and, in accordance with the RIMS II multiplier tables, an additional 109 indirect jobs will be created, a total of 309 new jobs, which qualify under the Program. Agusta anticipates that the project will cost a total of $27,687,000. Agusta is seeking a $12 million loan from the PIDC Regional Center to funds its project, making 30 units available for subscription.
